Introduction

Reddit’s mission is to bring community, belonging, and empowerment to everyone in the world. In pursuit of this mission, Reddit is committed to maintaining ethical business practices and corporate governance in accordance with applicable laws, and recognizes its responsibility to promote ethics, environment and labor standards within its supply chain.? We expect our suppliers and partners to uphold these same values and commitments. Although not exhaustive, this Supplier Code of Conduct (“Code”) lays out our expectations and is in addition to any contractual agreement that a supplier has with Reddit. In the event that this Code contradicts any contractual agreement, the contract shall govern and apply.?

General Expectations

• Compliance with Applicable Law: Suppliers and their personnel (if any) will comply with all applicable laws, regulations, and other legal requirements, including those relating to: anti-corruption/bribery, anti-money laundering, fraud, and financial crime; antitrust and competition; environment and corporate social responsibility; labor and human rights; health and safety; and privacy and data protection.
  
• Whistleblowing: Suppliers will have policies and procedures in place to support individuals raising genuine concerns about legal or ethical issues.
  
• Responsiveness: Suppliers agree to respond to reasonable inquiries and audits by Reddit, including any inquiries or audits related to their sustainability commitments and ethical practices.
  
  

Ethical Business Practices

• Conflicts of Interest: Suppliers will avoid all conflicts of interest or even the appearance of a conflict and operate honestly and ethically in all business interactions with Reddit.?
  
• Antitrust and Competition: Suppliers will comply with all applicable antitrust and competition laws as well as all regulations and standards of fair business, advertising, and competition.
• Anti-bribery and Corruption: All forms of bribery, kickbacks, gratuities, and other corruption are strictly prohibited. Suppliers will respect and adhere to all anti-corruption/bribery laws around the world, including the US Foreign Corrupt Practices Act, the UK Bribery Act, US Travel Act, and other applicable anti-bribery/corruption laws.?
• Business Records and Accounting: Suppliers will maintain accurate and complete books and records, and will not engage in false and/or misleading accounting practices.??
  
• Gifts and Entertainment: Beyond customary and reasonable business courtesies, suppliers will not directly or indirectly use gifts or offers of entertainment as a quid pro quo or to gain improper advantage or preferential treatment. Monetary gifts of any kind are strictly prohibited.?
• Trade Restrictions and Compliance: Suppliers will strictly abide by all international trade restrictions including list-based and country-specific economic sanctions programs in the US, UK, and EU, as well as embargoes, export and import controls, blocking statutes, and anti-boycott rules.?
  
  

Protection of Reddit Assets

• Intellectual Property, Confidentiality and Protecting Sensitive Data: Suppliers will not share or disclose Reddit’s intellectual property, confidential information, or any other proprietary information that is received in the course of their relationship with Reddit. Additionally, suppliers who have access to Reddit’s intellectual property, confidential information, or any other proprietary information will maintain reasonable and industry standard efforts to protect that data against unauthorized or unlawful loss, disclosure, access or processing.?
  
• Insider Trading: Suppliers are prohibited from trading stock or other securities of Reddit while in possession of and/or otherwise on the basis of material, non-public information, including confidential information, and passing on such information to other people so they can trade on it.?
  
• Information Privacy: Reddit believes privacy is a right. Suppliers who collect, receive, store, or otherwise process personal information and/or data in connection with the products or services they provide to Reddit will strictly safeguard and handle such information and data in compliance with all applicable privacy and data protection laws and regulations as well the supplier’s published privacy policy.?
  
• Reddit’s Brand: Suppliers will not use Reddit’s logo or brand name without prior written authorization, or unless otherwise permitted in the contractual agreement with Reddit.
  
  

Sustainability and the Environment

• Compliance with Environmental, Health, and Safety Laws: Suppliers will comply with all applicable environmental, quality, health, and safety laws and regulations.?
  
• Resource Efficiency and Environmental Benefits: Suppliers will make reasonable efforts to use energy efficiently, reduce pollution, minimize waste, and employ sustainability measures.?
  
  

Social Sustainability

• Human Rights: Suppliers will maintain working conditions in accordance with internationally recognized human rights standards such as the Universal Declaration of Human Rights, UN Guiding Principles on Business and Human Rights, and the ILO Declaration on Fundamental Principles and Rights at Work.??
  
• Forced Labor: Suppliers will not participate in human trafficking or exploitation or use any form of forced, indentured, involuntary, or slave labor in any part of their business or supply chain.
  
• Child Labor: The use of child labor is strictly prohibited. Suppliers will not employ anyone below the minimum age of employment in their respective country or location, and will uphold the ILO Convention 138 on the Minimum Wage and Convention 182 on the Elimination of the Worst Forms of Child Labor.?
  
• Working Hours and Wages: Suppliers will comply with all applicable wage and hour labor laws and regulations, and will ensure appropriate work hours and pay fair wages for their workers. Additionally, overtime shall be voluntary and consensual.
  
• Equal Opportunity, Inclusion and Diversity, and Anti-Harassment: Suppliers represent that they are equal opportunity employers and are committed to the principles of inclusion and respect. In selecting suppliers, Reddit favors suppliers that embrace inclusive principles and reflect the diverse backgrounds of the communities that Reddit serves. Additionally, suppliers will not retaliate, discriminate, or tolerate any form of harassment or mistreatment based upon race, color, age, sex, gender, gender identity, marital status, pregnancy, national origin, political affiliation, race, religion, sexual orientation, veteran status, or any other status protected by applicable laws.?

1.? ? ? ? ? ? ? Invoicing.

All invoices should reflect the applicable Purchase Order (PO) # at the header level and be primarily uploaded into Reddit’s Coupa Supplier Portal (CSP). Alternatively, the Coupa Supplier Actionable Notification (SAN) feature can be utilized to flip a PO into an invoice. 2.? ? ? ? ? ? ? Applicability.

This agreement is an offer by the Reddit entity named on the PO ("Reddit") for the purchase of the goods and/or services specified on the face of this PO from the party to whom the purchase PO is addressed (the "Seller") in accordance with and subject to these terms and conditions (the "Terms"; together with the terms and conditions on the face of the purchase PO, the "PO"). Unless otherwise stated on the face of the PO or in a separate signed written agreement between the parties, this PO, together with any documents incorporated herein by reference, constitutes the sole and entire agreement of the parties and supersedes all prior or contemporaneous agreements with respect to the subject matter of the PO. Any of Seller's general terms and conditions of sale or any other document issued by Seller in connection with this PO are expressly excluded.

3.? ? ? ? ? ? ? Acceptance.

Seller will be deemed to have accepted the PO upon the earliest of: (a) Seller signing and returning the PO to Reddit, (b) Seller shipping the applicable goods to Reddit or invoicing Reddit for such goods, (c) Seller starting performance of applicable services, or (d) Seller acknowledging acceptance of the PO by other commercially acceptable means.

4.? ? ? ? ? ? ? Delivery Date.

Seller shall deliver the goods and/or services in the quantities or description and on the date(s) specified in this PO or as otherwise agreed in writing by Reddit (the "Delivery Date"). Timely delivery of the goods and/or services is of the essence. If Seller fails to deliver the goods and/or services in full on the Delivery Date, Reddit may terminate the PO immediately by providing written notice to Seller and Seller shall indemnify Reddit against any losses, claims, damages, and reasonable costs and expenses directly attributable to Seller's failure to deliver the goods and/or services on the Delivery Date.

5.? ? ? ? ? ? ? Shipping and Delivery.

All goods shall be delivered to the address specified in this PO (the "Delivery Location") during Reddit's normal business hours or as otherwise instructed by Reddit.? Seller shall not charge for packaging, storage or transportation and goods will be delivered in accordance with Incoterms 2010 DAP Reddit’s designated facility. Goods shall be packaged, marked and prepared in accordance with best commercial practices and marked and labeled as required by applicable laws and regulations. An itemized packing list must accompany each shipment of goods. Title passes to Reddit upon delivery of the goods to the Delivery Location. Seller bears all risk of loss or damage to the goods until delivery of the goods to the Delivery Location.

6.? ? ? ? ? ? ? Amendment and Modification.

No change to this PO is binding upon Reddit unless it is in writing and signed by authorized representatives of both parties.

7.? ? ? ? ? ? ? Inspection and Rejection of Nonconforming goods and/or services.

Reddit has the right to inspect the goods and/or services on or after the Delivery Date. Reddit, at its sole option, may inspect all or a sample of the goods and/or services, and may reject all or any portion of them if it determines they are nonconforming or defective. If Reddit rejects any portion of the goods and/or services, Reddit has the right, effective upon written notice to Seller, to: (a) rescind the PO in its entirety; (b) accept the goods and/or services at a reasonably reduced price; or (c) reject the goods and/or services and require replacement of the rejected goods and/or services. If Reddit requires replacement of the goods and/or services, Seller shall, at its expense, within 10 days replace the nonconforming goods and/or services and pay for all related expenses, including, but not limited to, transportation charges for the return of the defective goods and the delivery of replacement goods and/or services. If Seller fails to timely deliver replacement goods and/or services, Reddit may replace them with goods and/or services from a third party and charge Seller the cost thereof and terminate this PO for cause pursuant to 15. Any inspection or other action by Reddit under this Section shall not reduce or otherwise affect Seller's obligations under the PO, and Reddit shall have the right to conduct further inspections after Seller has carried out its remedial actions.

8.? ? ? ? ? ? ? Price.

The price of the goods and/or services is the price stated in the PO (the "Price"). Unless otherwise specified in the PO, the Price includes all packaging, transportation costs, insurance, customs duties, fees and applicable taxes all costs of equipment provided by Seller to perform the Services.? If Seller is legally obligated to collect applicable taxes, Seller must state each applicable tax as a separate line item on its invoice.? Reddit will pay taxes separately stated on correct, undisputed, and timely invoices for the applicable goods and services.? If Reddit is obligated to withhold any taxes from its payments to Seller, Reddit will make the payments net of the withheld amounts. No increase in the Price is effective, whether due to increased material, labor or transportation costs or otherwise, without the prior written consent of Reddit.

9.? ? ? ? ? ? ? Payment Terms.

(a) Seller shall issue an invoice to Reddit on or any time after the completion of delivery of the goods or services and only in accordance with this PO. Reddit shall pay all properly invoiced amounts due to Seller within ninety (90) days after Reddit's receipt of such invoice, except for any amounts disputed by Reddit in good faith.? Reddit is not required to pay any invoice submitted more than 180 days after the goods or services have been completed, or the PO has been terminated, or expired. Reddit agrees to pay Seller all actual and reasonable travel, lodging and other out-of-pocket expenses incurred by Contractor in conjunction with this PO that have been pre-approved in writing by Reddit.?

(b) In addition to other rights and remedies Reddit may have, Reddit may offset any payment obligations to Seller that Reddit may incur under this Agreement against any fees owed to Reddit and not yet paid by Seller under this Agreement.? Reddit may withhold and offset against its payment obligations under this Agreement, or require Seller to pay to Reddit within 30 days of receipt of any invoice, any amounts Reddit may have overpaid to Seller in prior periods. Seller shall not charge Reddit a credit card processing fee if Reddit pays an invoice by a corporate or virtual credit card.

10. ? ? ? ? ? Representations and Warranties.

(a)? ? ? ? ? ? Mutual. Each party represents and warrants that it has full power and authority to enter into and fulfill its obligations under this PO.

(b)? ? ? ? ? ? Seller. Seller represents and warrants that: (a) Seller will perform the services in a professional and workmanlike manner by employees of Seller having a level of skill commensurate with the requirements of this PO; (b) any goods sold by Seller to Reddit hereunder will be of merchantable quality; will conform to applicable specifications, drawings, or descriptions furnished by Reddit; will be free from defects in design, material, and workmanship; and will be sufficient and fit for the purposes intended by Reddit; (c) Seller shall comply with all applicable laws, ordinances and regulations, including but not limited to relevant export laws and regulations, applicable commercial and public anti-bribery laws, and applicable privacy laws and regulations; (d) there are no actual or potential conflicts of interest concerning the goods and/or services; and (e) Seller is an equal-opportunity employer and does not discriminate on the basis of age, race, creed, color, religion, sex, sexual orientation, national origin, disability, marital or veteran status or any other basis that is prohibited by law and will not so discriminate in providing the goods and/or services.

11. ? ? ? ? ? Intellectual Property.?

Seller agrees to disclose in writing to Reddit all inventions, products, designs, drawings, notes, documents, information, documentation, improvements, works of authorship, processes, techniques, know-how, algorithms, technical and business plans, specifications, hardware, circuits, computer languages, computer programs, databases, user interfaces, encoding techniques, and other materials or innovations of any kind that Seller may make, conceive, develop or reduce to practice, alone or jointly with others, in connection with this PO or that result from or that are related to this PO, whether or not they are eligible for patent, copyright, mask work, trade secret, trademark or other legal protection (“Innovations”). Notwithstanding any failure by Seller to disclose such Innovations in accordance with the previous sentence, Seller and Reddit agree that, to the fullest extent legally possible, all Innovations will be works made for hire owned exclusively by Reddit. Seller agrees that, regardless of whether the Innovations are legally works made for hire, all Innovations will be the sole and exclusive property of Reddit. Seller hereby irrevocably transfers and assigns to Reddit, and agrees to irrevocably transfer and assign to Seller, all right, title and interest in and to the Innovations, including all worldwide patent rights (including patent applications and disclosures), copyright rights, mask work rights, trade secret rights, know-how, and any and all other intellectual property or proprietary rights therein (collectively, “Intellectual Property Rights”). At Reddit’s request and expense, during and after the term of this PO, Seller will assist and cooperate with Reddit in all respects and will execute documents, and, subject to the reasonable availability of Seller, give testimony and take such further acts reasonably requested by Reddit to enable Reddit to acquire, transfer, maintain, perfect and enforce its Intellectual Property Rights and other legal protections for the Innovations. Seller hereby appoints the officers of Reddit as Seller’s attorney-in-fact to execute documents on behalf Buyer for this limited purpose.

12. ? ? ? ? ? Indemnification.

(a)? ? ? ? ? Seller will defend and indemnify Reddit, its officers, directors, employees, sublicensees, users and agents (the “Reddit Parties”) from any claims, lawsuits, liabilities, or causes of action of every nature (“Claims”) arising out of or related to: (i) any third party Claim that the goods and/or services infringe or misappropriate any third-party Intellectual Property Rights; (ii) Seller’s breach of warranty, negligence, willful misconduct, fraud, misrepresentation, or violation of law; (iii) any breach of Section 16 (Confidentiality) by Seller or anyone acting on Seller’s behalf; and (iv) any property damage, personal injury or death related to the goods and/or services.

(b)? ? ? ? ? Reddit will have the right to approve any counsel retained to defend against any Claims against a Reddit party and will not unreasonably withhold such approval.? Reddit will have the right to control and participate in the defense of any such Claim concerning matters that relate to Reddit, and Seller will not settle or compromise any such Claim without Reddit's written consent.? If, in Reddit's reasonable judgment, a conflict exists between the interests of Reddit and Seller in such a Claim, Reddit may retain its own counsel whose reasonable fees will be paid by Seller.

13. ? ? ? ? ? Limitation of Liability.

EXCEPT FOR INFRINGEMENT OR MISAPPROPRIATION OF INTELLECTUAL PROPERTY RIGHTS, BREACHES OF OBLIGATIONS UNDER SECTION 16 (CONFIDENTIALITY), OR OBLIGATIONS UNDER SECTION 11 (INDEMNIFICATION): (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES; AND (B) NEITHER PARTY’S LIABILITY ARISING OUT OF THIS PO WILL EXCEED THE AMOUNT ACTUALLY PAID OR PAYABLE UNDER THE APPLICABLE PO UNDER WHICH THE LIABILITY AROSE.?

14. ? ? ? ? ? Insurance. ?

Seller shall maintain in force for the entire duration of its obligations under the PO that may exist, at Seller’s own expense, at least the following insurance coverages:

(a)? ? ? ? ? ? Workers Compensation in accordance with state statutory laws, including employers’ liability with minimum limits of $1,000,000 each accident; and

(b)? ? ? ? ? ? Commercial General Liability insurance with minimum limits of $1,000,000 each occurrence, $2,000,000 general aggregate; and

(c)? ? ? ? ? ? Commercial Automobile Liability insurance with minimum limits of $1,000,000 each accident for third party bodily injury and property damage, including uninsured/underinsured motorists coverage; and

(d)? ? ? ? ? ? Professional Liability / Errors & Omissions Liability insurance with minimum limits of $1,000,000 each claim.

(e)? ? ? ? ? ? Cyber Security ? If the Seller is providing SaaS or cloud computing services, Seller shall hold a Cyber Security Insurance policy with a minimum cap of $1 Million Dollars and shall maintain this throughout the Term, and provide evidence of coverage to Reddit if requested.

(f) ? ? ? ? ? ? All policies maintained by Seller shall be written as primary policies, not contributing with and not supplemental to coverage Reddit may carry and will contain a waiver of subrogation against Reddit and its insurance carrier(s) with respect to all obligations assumed by Seller under these Terms. Reddit must be included as Additional Insured under the liability policies listed above. The fact that Seller has obtained the insurance required hereunder shall in no manner lessen or otherwise affect such Seller’s other obligations or liabilities set forth in these Terms. Seller shall furnish Reddit with certificates of insurance evidencing compliance with all insurance provisions set forth herein and providing for 30-days notice of cancellation.

15. ? ? ? ? ? Compliance with Law.

Seller is in compliance with and shall comply with all applicable laws, regulations and ordinances. including those identified below and any other applicable anti-bribery laws, conflict minerals laws, employment laws, import/export laws, materials disposal laws, and Data Protection Laws. Seller will use commercially reasonable and good faith efforts to comply with Reddit’s due diligence process, including providing requested information. Seller has and shall maintain in effect all the licenses, permissions, authorizations, consents and permits that it needs to carry out its obligations under the PO. Seller shall comply with all export and import laws of all countries involved in the sale of services under this PO. Seller assumes all responsibility for shipments of goods and/or services requiring any government import clearance. Reddit may terminate this PO if any government authority imposes antidumping duties, countervailing duties or any retaliatory duties on the services.

(a)? ? ? ? ? ? Anti-Bribery. Seller will comply with all applicable commercial and public anti-bribery laws, including the U.S. Foreign Corrupt Practices Act of 1977 and the UK Bribery Act of 2010, which prohibit corrupt offers of anything of value, either directly or indirectly, to anyone, including government officials, to obtain or keep business or to secure any other improper commercial advantage. Seller will not make any facilitation payments, which are payments to induce officials to perform routine functions they are otherwise required to perform. “Government officials” include any government employee, candidate for public office, and employee of government-owned or government-controlled companies, public international organizations, and political parties.

(b) ? ? ? ? ? ? ? ?Modern Slavery. Seller will comply with all applicable anti-human trafficking, forced labor, and modern slavery laws and rules. Seller will take reasonable steps to ensure that no slavery, servitude, forced or compulsory labor, or human trafficking occurs in its provision of goods and/or services or supply chain.

16. ? ? ? ? ? Termination.

(a)? ? ? ? ? ? These Terms will commence on the Effective Date and continue until terminated pursuant to this PO.

(b) ? ? ? ? ? ? ? Either party may immediately terminate this PO on written notice if the other party is in material breach of this PO and fails to cure that breach within 15 days after receiving written notice from the first party identifying the breach. In addition, either party may immediately suspend performance or terminate this PO if an applicable law or an applicable government or court order prohibits performance of any part of the PO.

(c)? ? ? ? ? ? Reddit may terminate this PO with thirty (30) days written notice to Seller, subject to Section 15(d).

(d)? ? ? ? ? ? Unless otherwise specified in the termination notice, termination is effective immediately and Seller will cease all work under the PO immediately on receipt of the termination notice. Reddit will pay for the goods and/or services invoiced prior to the date of termination. Upon termination, Seller will delete all Reddit Confidential Information and any Personal Information (as defined under Section 17) received from Reddit, unless it is required by applicable law to retain some portion of the Confidential Information or Personal Information.? Upon written request, Seller will confirm that the Confidential Information and Personal Information has been deleted in accordance with this Section.

(e)? ? ? ? ? ? Survival. Sections 11 (Indemnification), 12 (Limitation of Liability), 15(e) (Survival), 16 (Confidentiality)? and Section 18 (General Terms) will survive any termination of this PO.?

17. ? ? ? ? Confidential Information.

All non-public, confidential or proprietary information of the Reddit, including, but not limited to, specifications, samples, patterns, designs, plans, drawings, documents, data, business operations, customer lists, pricing, discounts or rebates, disclosed by Reddit to Seller, whether disclosed orally or disclosed or accessed in written, electronic or other form or media, and whether or not marked, designated or otherwise identified as "confidential," in connection with the PO is confidential, solely for the use of performing the PO and may not be disclosed or copied unless authorized by Reddit in writing. Upon Reddit's request, Seller shall promptly return all documents and other materials received from Reddit. Reddit shall be entitled to injunctive relief for any violation of this Section. This Section shall not apply to information that is: (a) in the public domain; (b) known to the Seller at the time of disclosure; or (c) rightfully obtained by the Seller on a non-confidential basis from a third party.

18. ? ? ? ? ? Personal Information.

Seller will not access Personal Information of Reddit during the performance of any services under this PO.? “Personal Information” means any information relating to an identified natural person or a directly or indirectly identifiable natural person. Personal Information includes “personal data” as defined in the GDPR and “personal information” as defined in the CCPA, as amended.

19. ? ? ? ? ? General Terms

(a)? ? ? ? ? ? No Publicity. Neither party may make any public statement regarding this PO without the other party’s prior written approval.? Seller will not use Reddit’s name or logo without Reddit’s prior written consent.

(b)? ? ? ? ? ? Notices. All notices of termination or breach must be in English, in writing and addressed to the other party’s Legal Department. All other notices must be in English, in writing and addressed to the other party’s primary contact. Notice can be by email and will be treated as given on receipt, as verified by written or automated receipt or by electronic log (as applicable).

(c)? ? ? ? ? ? Assignment. Neither party may assign or transfer its rights or obligations under this PO without the written consent of the other, and any attempt to do so is void.

(d)? ? ? ? ? ? Change of Control. If Seller experiences a change of control (for example, through a stock purchase or sale, merger, or other form of corporate transaction), then Seller will give written notice to Reddit within 30 days after the change of control.

(e)? ? ? ? ? ? Force Majeure. Neither party will be liable for failure or delay in performance to the extent caused by circumstances beyond its reasonable control.

(f) ? ? ? ? ? ? Governing Law.? This PO is governed by the governing law below based on the Reddit entity named on the PO, excluding its conflict of laws principles. For any dispute relating to this PO, the parties consent to personal jurisdiction and exclusive venue set out below.

(g)? ? ? ? ? ? Miscellaneous.? Any failure to enforce any provision of this PO will not constitute a waiver thereof or of any other provision. If any section (or portion of a section) of this PO is invalid, illegal or unenforceable, the rest of the PO will remain in effect.

(h) ? ? ? ? ? ? ? Relationship of the Parties. The relationship between the parties is that of independent contractors. Nothing contained in the PO shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever. No relationship of exclusivity shall be construed from this PO.

(i)? ? ? ? ? ? ? ? Background Checks. Contractor will ensure that any Seller personnel or sub-contractors engaged to provide services under this PO will have successfully completed a general verification and background check, including criminal background check and employment history verification, as allowed by applicable law.

(j)? ? ? ? ? ? ? No Third-Party Beneficiaries. This PO is for the sole benefit of the parties hereto and their respective successors and permitted assigns and nothing herein, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit or remedy of any nature whatsoever under or by reason of this PO.
